What is software technical due diligence?
Technical due diligence is an independent review of a software product and the team behind it before an acquisition or investment. It tests whether the code, architecture, security, infrastructure and engineering process can support the business plan, and it prices the technical risks and debt the buyer would inherit.
How much does technical due diligence cost?
Cuanto Labs charges a fixed $7,500 for one product. 11mile reports boutique reviews at roughly $8,000 to $12,000 and Reyem starts at $7,500, while large consultancies and Big Four teams often quote $50,000 or more for a team-staffed review over several weeks.
What does a technical due diligence report include?
An executive summary with red flags, sections on code quality, architecture, security, scalability, infrastructure cost, team and process, a technical-debt estimate with remediation costs, open-source license exposure, and a risk register that rates each risk by likelihood and impact so the deal team can price it.
How long does technical due diligence take?
Five to ten business days for one product once we have access, and a red-flag review can be done faster before a letter of intent. The timeline depends mostly on how quickly the target grants repository and infrastructure access and makes its technical leads available.
What are common red flags in technical due diligence?
Code that only one person understands, no automated tests, secrets committed to the repository, unpatched dependencies, copyleft licenses in a commercial product, code written by contractors without IP assignment, infrastructure costs that grow faster than revenue, and a roadmap the current architecture cannot support.
How does Cuanto Labs' technical due diligence price compare with South Florida firms?

More questions
Can you work on a pre-LOI timeline?
Yes. A lighter red-flag review can be done in a few business days before a letter of intent; the full review follows once you have data-room access.
Do you talk to the target's team?
Yes, with the seller's agreement. Interviews with the technical leads explain the why behind the code and are often where the biggest risks surface.
Is this a financial or legal review?
No. It is the technical part of diligence only. It sits alongside your financial and legal advisers, not in place of them.

Technical due diligence is a point-in-time review of the materials and access the target provides. It is not financial, legal, tax or investment advice, and it does not replace review by your legal and financial advisers.
